Terms of Service

1. Acceptance of Terms

By accessing or using Structify.AI (the "Service", "we", "us", or "our"), you ("you" or "User") agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Structify.AI is an AI-assisted construction estimating, design intelligence, and project-management platform for builders, developers, architects, and other construction professionals. The Service analyses architectural drawings and related documents to extract metrics, generate cost estimates, identify scope, and provide design and market insights.

Outputs are produced through a combination of automated extraction, machine learning, and large language models, and are intended to assist — not replace — qualified professional judgement.

3. Beta and Evolving Service

The Service is under active development. Features, models, pricing, and outputs may change, be added, or be removed at any time. Some features may be marked "beta", "preview", or "experimental"; these are provided on an "as-is" basis and may produce inaccurate, incomplete, or unexpected results. Use of beta features is at your own risk.

4. Account Registration

To use most features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information and keep it updated
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Be at least 18 years of age, or the age of majority in your jurisdiction
  • Notify us immediately at lakshay@structifyai.com.au of any unauthorised use of your account

We may refuse, suspend, or terminate accounts at our discretion, including where we suspect fraud, abuse, or violation of these Terms.

5. Subscription, Fees, and Refunds

Paid features require an active subscription or project-based access pass. By subscribing or purchasing, you agree to:

  • Pay all applicable fees in the currency displayed at purchase, and authorise recurring charges via our third-party payment processor
  • Automatic renewal at the end of each billing period unless cancelled before the renewal date
  • That fees are non-refundable for partial periods, except where required by law (including the Australian Consumer Law) or where expressly stated in writing by us
  • That we may change pricing for future billing periods upon reasonable notice

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date. Free accounts have limited access; full features require a paid subscription.

6. Acceptable Use

You agree not to:

  • Upload malicious, infringing, unlawful, defamatory, or offensive content
  • Upload content you do not own or have a right to use
  • Use the Service to develop, train, or benchmark a competing product
  • Reverse engineer, decompile, scrape, or otherwise attempt to derive the source code, models, prompts, or underlying data of the Service
  • Bypass, disable, or interfere with security measures, rate limits, or usage controls
  • Resell, sublicense, or share access to your account with unauthorised users
  • Use the Service in connection with high-risk activities (e.g. life-support, nuclear systems, critical infrastructure) where failure could lead to death, personal injury, or severe environmental damage
  • Use the Service to violate any law or any third-party right

7. User Content and Feedback

Your Content. You retain ownership of all documents, drawings, files, and other content you upload ("User Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, display, and otherwise use User Content solely as necessary to provide, maintain, secure, and improve the Service.

Feedback. If you provide ideas, suggestions, bug reports, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose without obligation or compensation to you.

Aggregated Data. We may generate de-identified, aggregated statistics and metrics from User Content and usage of the Service. We may use this aggregated data to operate, improve, and market the Service, provided it does not identify you or your projects.

8. Intellectual Property

The Service, including its software, models, designs, branding, documentation, and underlying technology, is owned by Structify.AI and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms.

"Structify.AI", our logo, and product names are trademarks of Structify.AI. You may not use them without our prior written consent.

9. Third-Party Services and AI Providers

The Service relies on third-party providers for hosting and storage, payment processing, email delivery, error monitoring, AI/large-language-model processing, and product analytics. Your use of the Service is also subject to those providers' terms where they apply directly to you.

We are not responsible for the availability, accuracy, content, or privacy practices of third-party services. Where AI providers process your documents, we use commercially reasonable efforts to engage providers under terms that prohibit retention of your content for model training, but we cannot guarantee specific behaviour by any third party.

10. AI Outputs and Professional Judgement

Important Notice

Estimates, take-offs, scopes, market insights, and any other outputs generated by Structify.AI are AI-assisted and provided for informational and planning purposes only. They are not a substitute for advice from a qualified quantity surveyor, builder, engineer, architect, lawyer, accountant, or financial adviser. AI can and does make mistakes. Always verify important outputs with a qualified professional before making construction, contractual, financial, regulatory, or legal decisions.

We do not warrant the accuracy, completeness, currency, or reliability of any AI-generated content. You are solely responsible for reviewing, verifying, and deciding whether to act on any output of the Service.

11. Cookies, Analytics, and Privacy

We use cookies and similar technologies, product-analytics tools, and session-replay technology (for authenticated users only) to operate the Service, keep you signed in, remember preferences, understand how the Service is used, diagnose issues, and improve features and reliability. We do not use these tools for advertising and we do not sell the data they collect. Your use of the Service constitutes consent to these practices as described in our Privacy Policy, which forms part of these Terms.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error-free or secure, or that defects will be corrected.

13. Limitation of Liability

To the maximum extent permitted by law, Structify.AI and its directors, employees, contractors, and affiliates shall not be liable for:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, business opportunity, goodwill, or data
  • Inaccuracies, omissions, or errors in AI-generated estimates, scopes, or analyses
  • Decisions, contracts, or expenditures based on outputs of the Service
  • Service interruptions, downtime, security incidents, or data loss
  • Acts or omissions of third-party providers

Our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (b) AUD $100.

14. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Competition and Consumer Act 2010 (Cth), the Australian Consumer Law, or any other law that cannot lawfully be excluded or limited ("Non-Excludable Rights"). Where the Service is supplied to you as a "consumer" within the meaning of the Australian Consumer Law, you may have rights that operate alongside these Terms.

To the extent the Service is not of a kind ordinarily acquired for personal, domestic, or household use, our liability for breach of any Non-Excludable Right is, at our option, limited to: (i) re-supplying the Service; or (ii) refunding the fees paid for the affected portion of the Service.

15. Indemnification

You agree to defend, indemnify, and hold harmless Structify.AI and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

16. Suspension and Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, including for suspected violation of these Terms, non-payment, security risk, or legal requirement. You may terminate these Terms at any time by closing your account.

Upon termination: (a) your right to access and use the Service ceases; (b) we may delete your User Content after a reasonable retention period as described in our Privacy Policy; and (c) sections that by their nature should survive termination — including IP, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.

17. Changes to the Service and to These Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also revise these Terms from time to time. We will provide notice of material changes by email or through the Service. Continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Service and close your account.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict-of-law principles. Subject to clause 19 (Dispute Resolution), you and Structify.AI submit to the exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from them.

19. Dispute Resolution

Before commencing any court proceeding, the parties agree to attempt in good faith to resolve any dispute arising out of or in connection with these Terms by written notice to the other party (sent to the contact details in clause 22), followed by a thirty (30) day informal negotiation period. This clause does not prevent either party from seeking urgent injunctive or equitable relief at any time.

20. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, internet or power outages, third-party service outages, or cyber-attacks.

21. General

  • Entire agreement: These Terms, together with our Privacy Policy and any order form or written agreement between us, constitute the entire agreement between you and Structify.AI regarding the Service and supersede prior agreements on the same subject matter.
  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
  • No waiver: Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
  • Notices: Notices to us must be sent to the contact address in clause 22. Notices to you may be sent to the email associated with your account or posted within the Service.
